Terms of Service

Applies to: InstaBadMagazine.com and all related sites, apps, communications, events, and services operated by InstaBad LLC (“InstaBad Magazine,” “we,” “us,” “our”).

Summary (not a substitute for the full Terms): We create and distribute entertainment and news content and sell products (including digital issues, memberships, merchandise, and event access). By using our Services, you agree to these Terms, our Privacy Policy, and any policies referenced below.

1) Acceptance of Terms

By accessing or using our websites, apps, social channels, purchasing products, redeeming offers, or attending events (collectively, the “Services”), you agree to these Terms. If you do not agree, do not use the Services.

2) Who We Are & What We Do

InstaBad Magazine is operated by InstaBad LLC. Our Services include:

  • Publishing entertainment and news content, including articles, audio/video, photography, and editorial features.

  • Selling products (digital and physical), including magazines, memberships, merchandise, tickets/passes, and other goods.

  • Providing member content, event experiences, and promotional programs.

3) Eligibility

You must be at least the age of majority in your jurisdiction (or have parental/guardian consent) to use the Services. You may not use the Services if prohibited by applicable law.

4) Account & Security

You are responsible for your account credentials and all activity under your account. Notify us immediately of unauthorized use. We may refuse, suspend, or terminate accounts at our discretion.

5) Orders, Pricing, Taxes, & Billing

  • We may accept, limit, or cancel orders at our discretion (including per person/household/account limits).

  • Prices may change without notice; taxes, duties, shipping, and fees may apply and are your responsibility.

  • You agree to provide current, accurate billing, shipping, and contact information and to promptly update it.

  • If we cancel or change an order, we may attempt to notify you using the contact details you provided.

6) Products, Services & Availability

Some items or Services may be offered in limited quantities or regions and may be available online only. Descriptions, images, and colors are for reference; exact appearance can vary by display/device. We may modify or discontinue any product, feature, or content at any time without liability.

7) Shipping, Delivery, Returns

Shipping and delivery windows are estimates. Title and risk of loss transfer upon our delivery to the carrier. Returns and exchanges follow our posted Refund/Return Policy (if applicable).

8) Subscriptions & Memberships

If you enroll in recurring Services (e.g., InstaBad Gold or other memberships), you authorize recurring charges until cancellation per the plan terms. You may cancel future renewals as permitted by your plan; fees already paid may be non-refundable unless required by law.

9) Digital Content & License

Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access our editorial content for personal, non-commercial use. Except where expressly allowed, you may not copy, distribute, modify, create derivative works, or exploit our content or any portion of the Services.

10) User Content; Feedback

If you submit comments, ideas, proposals, artwork, media, or other materials (“User Content”), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, host, reproduce, modify, publish, translate, distribute, and display such User Content in any media, with or without attribution, without compensation. You represent that you own or control the rights to your User Content and that it does not infringe any third-party rights or violate law.

11) Acceptable Use

You agree not to:
(a) use the Services for unlawful purposes; (b) infringe intellectual-property, privacy, or publicity rights; (c) post or transmit harmful code; (d) scrape, spider, or harvest data without permission; (e) upload or share content that is defamatory, obscene, hateful, or otherwise objectionable; (f) interfere with security or access controls; (g) misrepresent your identity or affiliation.

12) Third-Party Services & Links

We may reference or enable access to third-party content, tools, or services. We do not control and are not responsible for third-party materials or practices. Your use of third-party offerings is at your risk and may be governed by those parties’ terms and policies.

13) Intellectual Property

All content, trademarks, service marks, trade dress, logos, and software on or used in the Services are owned by InstaBad LLC or our licensors and are protected by intellectual-property laws. No rights are granted except as expressly set out in these Terms.

14) Editorial Standards & Disclaimers

Our entertainment and news content is provided for general informational and entertainment purposes only and may include opinions. While we aim for accuracy, we do not warrant completeness, timeliness, or reliability. You rely on content at your own risk.

15) Events & Experiences

Attendance at our events (e.g., yachts, clubs, mansions, rooftops) may be subject to additional terms, codes of conduct, and safety rules. We may refuse entry or remove any attendee for safety or policy violations. You assume all risks associated with attendance and agree to comply with venue and local laws.

16) Promotions, Giveaways & Contests

Any sweepstakes, giveaways, or promotions are governed by specific rules that supplement these Terms. In the event of a conflict, the promotion rules control.

17) Privacy

Your submission of personal information through the Services is governed by our Privacy Policy. You consent to the collection and processing of your data as described there, consistent with applicable laws.

18) Error Corrections & Changes

We may correct errors, inaccuracies, or omissions and update information at any time without prior notice, including after an order is placed. We are not obligated to update information except as required by law.

19) Disclaimer of Warranties

THE SERVICES (INCLUDING ALL CONTENT, PRODUCTS, AND FEATURES) ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT DEFECTS WILL BE CORRECTED.

20) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSTABAD LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR FOR REPLACEMENT COSTS OR SERVICE INTERRUPTIONS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE APPLICABLE PRODUCT OR SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain limitations; some exclusions may not apply to you.

21) Indemnification

You agree to defend, indemnify, and hold harmless InstaBad LLC and its officers, directors, employees, agents, affiliates, licensors, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms or applicable law.

22) Termination & Suspension

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including suspected violations of these Terms. Upon termination, rights granted to you cease immediately, but Sections intended to survive (e.g., IP, disclaimers, limitations, indemnities) will continue.

23) Governing Law; Venue

These Terms are governed by the laws of the State of Wyoming, and applicable U.S. federal law, without regard to conflict-of-laws principles. Subject to the arbitration provision below, exclusive venue lies in state or federal courts located in Wyoming, and you consent to personal jurisdiction there.

24) Binding Arbitration; Class Action Waiver

Any dispute arising from or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis. You waive any right to participate in a class, collective, or representative action. You and we may seek injunctive relief in court to protect intellectual-property or confidential information pending arbitration.

25) DMCA & IP Complaints

If you believe content infringes your copyright or other IP rights, send a detailed notice identifying the work, the allegedly infringing material, your contact information, and a statement under penalty of perjury that you are authorized to act, to the contact below. We may remove or disable access to disputed material and may terminate repeat infringers.

26) Children

The Services are not directed to children under the age required by applicable law. If we learn we have collected personal information from a child without appropriate consent, we will delete it.

27) Accessibility

We strive to make our Services accessible. If you encounter barriers, contact us so we can assist.

28) Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control, including but not limited to acts of God, labor disputes, supply interruptions, epidemics, or governmental actions.

29) Changes to These Terms

We may update these Terms at any time. Changes take effect when posted. Your continued use of the Services after changes post constitutes acceptance.
